Thank you.Our game and our players need us more than ever. The hockey community has beenhit hard; our hockey season and all our projects were stopped in full flight, andnew, urgent and unfamiliar priorities quickly replaced them. We continue to try tomitigate the damaging effects of the pandemic.As I write this message, in May 2020, Canada is preparing to ease restrictions underthe guidance of our public health authorities.During these unique times, Hockey Canada and its Members are actively preparinga Return to Hockey. Task teams and workgroups are being established to address4HockeyCanada.ca
ever-changing circumstances. Our Member Engagement department is coordinatingefforts with Members to restructure the delivery of the game, from local hockeyassociations up to our elite leagues, from Timbits U7 players to our national teams.The Board of Directors, Executive leadership and staff of Hockey Canada, workingtogether with all Hockey governing bodies across the country, are united to facethe uncertainties and to plan for a return to the rink with the help of the countlessvolunteers across the country who take care of participants year-round.It is important to stay positive in the face of adversity, remain connected and relyon one another. I believe that our level of communication has never been so unified,strong and productive. Our leadership is expressing itself. We need to continue.We remain committed to focusing on the health and safety of our participants andhockey will have to be played with that priority being of the utmost importance.Even in these adverse circumstances we are living through, we can still Lead,Develop and Promote Positive Hockey Experiences, our mission statement. We havethe potential and will to adapt and serve our players who want Hockey. We can becreative, inspired and dedicated with our return to hockey. Taking care of our playersis taking care of our sport. It lies with us to meet the challenges.Before COVID-19 hit in early March 2020, we were engaged with many projects. HockeyCanada will continue to pursue the work already started. Answering the concerns andaddressing the situations, creating, reviewing and solidifying our policies, evaluatingour programs and improving them, ensuring our Members needs are taken care of.It is important to acknowledge the Hockey Canada Board of Directors. It made timely,necessary and difficult decisions to mitigate the effects of the pandemic on ourhockey community. The Directors acted with diligence in taking care of the peopleand of Hockey Canada, and they remain committed and humble. I commend them fortheir sustained efforts and hard work.All the staff of Hockey Canada have demonstrated care, support, guidance anddedication. Thank you for your professionalism. Hockey Canada is fortunate to beable to count on you.As you see, Hockey Canada is not waiting. BY-LAWSI. OVERVIEW1. DEFINITIONSThe following terms have these meanings in these By-laws:a) Act – the Canada Not-for-Profit Corporations Act, S.C. 2009, c.23, includingthe Regulations made pursuant to the Act, and any statutes or regulationsthat may be substituted, as amended from time to time;b) Articles – the original or restated articles of incorporation or articles ofamendment, amalgamation, continuance, reorganization, arrangement orrevival of Hockey Canada;c) Auditor – a Public Accountant, as defined in the Act, appointed by theMembers by Ordinary Resolution at the Annual Meeting to audit the books,accounts, and records of Hockey Canada for a report to the Members at thenext Annual Meeting;d) Board – means the Board of Directors of Hockey Canada;e) Chair of the Board – means the Chair of the Board of Directors of HockeyCanada;f) Club – means a local Minor Hockey Association operated and controlled by aduly elected Executive or Board of Directors.g) Days – days inclusive of weekends and holidays;h) Delegate – means an individual who is designated by a Member to representthat Member’s interests at a Members’ Meeting;i) Director – an individual elected or appointed to serve on the Board pursuantto these By-laws;j) Division – means the classes of hockey operated within Hockey Canada, asfurther described in the Regulations;k) Head Office – has the meaning described in By-Law 3.1;l) Hockey Canada School With Residence - has the meaning set out in theRegulations;m) Hockey Canada Accredited School - has the meaning set out in the Regulations;n) IIHF – means the International Ice Hockey Federation;20HockeyCanada.ca
BY-LAWSo) Member – has the meaning described in By-Law 8.1 and, where appropriate,means the designated individual, Delegate or representative duly authorizedto appear for and make decisions on behalf of such Member;p) Members’ Meeting – means any Annual or Special Meeting;q) Officer – has the meaning described in By-Law 40.1;r) Ordinary Resolution – a resolution passed by a majority of the votes cast onthat resolution;s) Playing Rules – means the rules that govern the game of hockey in Canada,as set out in the Official Rule Book of Hockey Canada, as amended from timeto time;t) President – means the President and Chief Operating Officer of HockeyCanada.u) Proposal – a notice submitted to Hockey Canada by a Member specifying amatter that the proposing party wishes to raise at a meeting and that meetsthe requirements of Section 163 of the Act;v) Qualified Donee – has the meaning assigned by the Income Tax Act;w) Regulations – means the Regulations of Hockey Canada, as amended fromtime to time;x) Season – means the annual hockey season which commences on June 1 andends on May 31 of the following year;y) Special Resolution – a resolution passed by a majority of not less than twothirds (2/3) of the votes cast on that resolution; andz) Task Team – has the meaning described in By-Law 51.2.
